1. Acceptance of Terms

By accessing or using the website at www.shenggong.shop (the "Site") and the services provided by Kunming Shenggong International Commerce And Trade Co., Ltd. ("the Company"), you agree to be bound by these Terms of Service. If you do not agree with any part of these Terms, you must not access or use our Site or services. These Terms constitute a legally binding agreement between you and the Company.

2. Services Description

We provide professional services in computer systems design, systems integration, cloud architecture, cybersecurity consulting, data engineering, and IT strategic consulting. The scope, deliverables, timelines, and fees for specific services shall be defined in a separate Service Agreement or Statement of Work (SOW) executed by both parties.

3. Use of the Website

You may use our Site for lawful purposes only. Prohibited activities include: violating any applicable law, attempting unauthorized access, introducing malicious software, engaging in activities that disrupt Site functionality, using automated extraction tools without consent, or misrepresenting your identity. If you create an account, you are responsible for maintaining the confidentiality of your login credentials.

4. Intellectual Property Rights

All content on this Site — including text, graphics, logos, images, code, and software — is owned by the Company or its content suppliers and protected by applicable intellectual property laws. The name "Shenggong International" and related marks are our trademarks. You may not reproduce, distribute, or commercially exploit any content without our written consent. Client deliverables are transferred upon full payment of all applicable fees.

5. Client Responsibilities

Clients agree to provide accurate and timely information, designate an authorized point of contact, ensure proper licensing of provided materials, cooperate in good faith, pay all fees as agreed, and comply with applicable laws.

6. Fees and Payment

Fees are set forth in the applicable Service Agreement. Invoices are due within thirty (30) days. Late payments may incur 1.5% monthly interest. The Client is responsible for all applicable taxes. We may suspend services for past-due accounts. Fees are non-refundable except as expressly stated.

7. Confidentiality

Both parties agree to protect confidential information disclosed during engagements, including business plans, technical data, trade secrets, and financial information. The receiving party must use the same degree of care as it uses for its own confidential information. Obligations survive termination for five (5) years, or indefinitely for trade secrets.

8. Limitation of Liability

Our liability shall not exceed the total fees paid for the specific service in the preceding twelve (12) months. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption.

9. Warranty Disclaimer

Services are provided "as is" and "as available." We disclaim all implied warranties including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted, error-free, or secure operation.

10. Indemnification

You agree to indemnify and hold harmless the Company against claims arising from your violation of these Terms, applicable laws, or infringement of third-party rights.

11. Termination

Either party may terminate with thirty (30) days' written notice, or immediately for material breach not cured within fifteen (15) days. Upon termination, fees incurred up to the termination date remain payable. Certain sections shall survive termination.

12. Force Majeure

Neither party is liable for delays due to events beyond reasonable control, including natural disasters, war, government actions, pandemics, or infrastructure failures.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the People's Republic of China. Disputes shall first be resolved through negotiation. If unresolved within thirty (30) days, disputes shall be submitted to CIETAC arbitration in Kunming, Yunnan, conducted in English. The award shall be final and binding.
